We are Powering Africa’s Forward Movement, and this is being actualized through our transformative Mission: Making mobility safe, affordable, accessible and sustainable through the deployment of high-performance technology and operators.
We are building the largest vehicle subscription and financial services platform for commercial drivers and transport operators across Africa. Our proprietary technology is enabling Drivers with no banking history to access low to zero-emission vehicles, insurance, digital wallets and eHailing services on a subscription basis. From 2019 to 2020, we scaled from 200 to more than 10,000 drivers and have raised more than $70m to achieve our mission. Our goal is to serve 14 million gig drivers across Africa's $250B mobility industry. In the short term, we are scaling our impact to 100,000 drivers across 10 cities in 3 countries.

Our Investors and Strategic Partners:
MAX has raised $70m+ in funding to date, from strategic and financial investors including Lightrock (member of the LGT Group), Global Ventures, Yamaha, Mastercard, Shell Foundation, Novastar, Goodwell Investments, Breakthrough Energy Ventures, Techstars, and DLM Capital. Its Series B first-close of $31m was delivered in December 2021 after which the company announced plans to scale Vehicle Subscriptions, Fintech Products, and Electric Vehicles (EVs) across Africa. Max expects that 31% of its fleet will be made up of EVs by 2024 and 69% by 2026.

Role Overview: CORPORATE LEGAL COUNSEL
We are looking for a CORPORATE LEGAL COUNSEL who will be a key member of our team, you will review, interpret and translate legal requirements and effectively communicate these to the business and external stakeholders. This is an excellent opportunity for someone looking to gain exceptional experience in a varied and fast-paced environment. You will be a strategic thinker with strong organizational and problem-solving skills. You will have strong research experience, an analytical mind and outstanding presentation skills. You will be highly analytical, a self-starter, results-oriented and able to thrive in an entrepreneurial and fast-paced environment.
This is a full time, permanent and long-term position reporting to the CEO with access to MAX’s executive team and board. We are committed to and encourage equal opportunity.
Job Description:
- Manage governance related matters, including board meetings, resolutions, and shareholder communications.
- Ensure compliance with corporate laws and regulations, including filing annual returns, maintaining statutory records, and conducting board and shareholder meetings for operating companies and the parent company.
- Advise on regulatory developments and their impact on the company's business.
- Manage investor and stakeholder reporting relating to ESG matters and other periodic disclosures.
- Manage stakeholder relationships and address legal inquiries.
- Evaluate new business partnerships with vendors and stakeholders (internal & external.
- Design and oversee the company’s policy and position on legal matters.
- Protect the company against legal risks and violations
- Guide management Ensure compliance with the internal controls, statutory regulations and other formalities
- Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights and advise on IP strategy and protection.
- Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, partnership agreements, and service contracts.
- Ensure that contracts align with the company's business objectives and mitigate legal risks.
- Manage and resolve legal disputes, including litigation and arbitration.
- Review and respond to claims and demands, and engage internally to resolve complaints
- Develop and implement strategies to minimize legal risks and liabilities.
- Monitor and ensure compliance with relevant laws and regulations, including data privacy, consumer protection, and antitrust laws on regulatory and compliance issues to ensure compliance with legal regulations
- Examine the legal issues related to new products and services
- Respond, handle and manage other related task as assigned by your Line Manager or Management
Requirements
- Bachelor’s degree in law
- 5 - 8 years corporate legal experience
- Licensed to practice law in Nigeria
- Excellent communication skills, both verbally and in writing
- Highly analytical with strong attention to detail
- Company secretarial and governance experience
- High levels of energy and drive, willingness to work hard
- Excellent communication and interpersonal skills
- Knowledge of ESG principles and reporting standards
- Strong planning, coordination and organizational skills
- Outstanding research and analytical abilities
