Role

We are seeking a Corporate & HR paralegal to play a critical role in managing legal operations, corporate governance, mergers & acquisitions, human resources, public sector contracting, and compliance. This role requires an experienced professional with 10+ years of expertise in legal operations, contract management, corporate governance, mergers & acquisitions, employment law matters, and global workforce support.  The Corporate/HR Paralegal reports to Protect AI’s General Counsel.

Key Responsibilities

Corporate/Mergers and Acquisitions

  • Collecting due diligence documents and organizing electronic data sites, performing diligence research and capitalization due diligence, coordinating shareholder mailings and regulatory filings, drafting and managing signing and closing documents, and preparing closing volumes.

  • Incorporating technology companies, corporate records management, stock option plan implementation and administration, venture capital financings, blue sky research, Carta equity management.

  • Experience in IPO and public company matters, including registration statement numerical backup spreadsheets, beneficial ownership tables, '34 act, Section 16 reporting, Rule 144 and legend removal letters, transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters, closing documents, closing volumes and board resolutions and minutes.

Legal Operations & Process Optimization

  • Develop and implement scalable legal workflows to support contract management, compliance, and HR operations.

  • Optimize Ironclad, our contract lifecycle management (CLM) tool, to improve efficiency, tracking, and compliance.

  • Assist in corporate governance, domestic and foreign entity management, and regulatory compliance across multiple jurisdictions.

  • Support risk management initiatives, ensuring alignment with company policies and legal obligations.

  • Review and audit records to ensure accuracy, completeness, and compliance with regulatory standards and organizational policies.

Commercial and Public Sector Contracting

  • Oversee and manage commercial contracts and government contracts, including FAR/DFARS compliance.

  • Support vendor, partner, and customer agreements, including NDAs, MSAs, and licensing agreements.

  • Work with cross-functional teams (sales, marketing, product, customer success, and engineering) to streamline contract negotiations.

  • Ensure compliance with AI security, data protection, and cybersecurity regulations in contracts.

HR & Employment Compliance

  • Partner with HR teams across the U.S., EU, and India to ensure compliance with local employment laws, hiring practices, and workplace policies.

  • Draft, review, and maintain employment agreements, independent contractor agreements, and global workforce policies.

  • Support immigration, work authorization, and employee classification matters.

  • Assist with employee relations investigations, policy updates, and compliance training programs.

  • Maintain records and documentation for EEO, GDPR, and other employment law compliance requirements.

  • Experience with the Rippling HRIS system.

  • Act as a liaison between Legal and HR, ensuring seamless integration of legal and employment matters.

  • Support global HR operations and work with the Head of Human Resources on onboarding, benefits compliance, and labor law adherence.

  • Help draft, implement, and maintain HR policies, handbooks, and workplace compliance programs.

  • Assist in managing dispute resolution, employment claims, and labor law compliance.

Qualifications & Experience

  • 10+ years of experience in legal operations, HR compliance, and contract management, preferably in a high-growth tech startup.

  • Strong understanding of U.S., EU, and India employment laws, labor regulations, and compliance requirements.

  • Experience with government contracting (FAR/DFARS) and AI security regulations.

  • Proficiency in contract management systems (e.g., Ironclad) and legal database tools.

  • Strong attention to detail, organization, and ability to manage complex workflows.

  • Ability to handle confidential HR and legal matters with discretion and professionalism.

  • Experience working with remote and distributed global teams.

  • Background in AI security, cybersecurity, or technology-focused legal operations.

  • Familiarity with data privacy laws (GDPR, CCPA) and cybersecurity compliance (NIST, ISO).

  • Experience supporting a General Counsel in Legal Operations, M&A Transactions, and HR functions.

  • Bachelor’s degree, Paralegal certification, HR certification (SHRM-CP, PHR), and/or JD.

The salary range for this role is $135,000 to $185,000 per year.
