Kodiak Robotics, Inc. was founded in 2018 and is a leading provider of AI-powered autonomous vehicle technology committed to a safer and more efficient future for all. The company is developing an artificial intelligence (AI) powered technology stack for driverless commercial trucking applications. Kodiak’s unique modular hardware approach integrates sensors into a streamlined sensor-pod structure that is purpose-built for perception, scalability, and maintainability. The company autonomously delivers freight daily for its commercial customers across the Sun Belt states and for Atlas Energy in the Permian Basin. Kodiak also leverages its commercial self-driving software to develop, test and deploy autonomous capabilities for the U.S. Department of Defense. We are looking for a Legal Operations Specialist to join our legal team. This position supports the legal team who work on a wide variety of dynamic matters in a fast-evolving industry. Basic background knowledge of legal matters including contract drafting and negotiation, regulatory compliance, data security and privacy matters, corporate and securities matters, safety and risk management, and employment law matters, among others, will be a strong starting point for an ideal candidate. The individual must be well organized, able to work independently, manage matters effectively, be an engaged and personable team member who loves to work closely with stakeholders across the organization, build coalitions and work collaboratively with other department members, and appreciate the need for professionalism and confidentiality with respect to sensitive company matters.
In this role, you will:
Manage the company’s forms of contracts, policies, and other documents as well as its contract management system and help ensure contracts are being reviewed and progressed in accordance with company policy.
Draft, and often negotiate, Kodiak form agreements including non-disclosure agreements, vendor agreements, and other contracts.
Assist the legal team in the management of a variety of documents, organization and maintenance of electronic and hard copy files, and in completing and processing various corporate legal, contract and insurance documents.
Provide support to various stakeholders regarding contract status, execution, project set up, and contract close outs.
Assist in the management of the corporate insurance program, including preparation of renewals, producing certificates of insurance, and processing insured claims.
Maintain the corporate records books and ensure state filings are timely and up-to-date.
Develop and draft standard processes and procedures.
Assist with compliance matters in a variety of areas, including regulatory, contractual, and corporate.
Keep and report metrics regarding the legal team output and performance, including documentation of closed agreements.
Support due diligence responses and data room management.
Support the growth of the Kodiak legal team in an exciting, rapidly changing and scaling environment.
What you'll bring:
At least 5 years prior experience in legal operations, as a paralegal, legal operations professional, or as a junior lawyer in a law firm or in-house environment.
Either (i) a relevant professional certification, preferably from an ABA-approved school, or other credentials demonstrating proof of paralegal qualifications and awareness of best practices or (ii) a law degree from an accredited law school.
Experience in a fast-moving and dynamic environment.
Love for the administrative and organizational sides of things: flawless filing and document management, strong reporting, and doing things by the book.
Familiarity with legal research tools and the ability to take on a wide variety of research assignments with limited oversight.
A strong understanding of contract formation, terms and conditions, and legal proceedings.
Exceptional written and oral communication skills and the ability to effectively communicate and interact with stakeholders across the company.
High level of proficiency in basic office software (e.g. Microsoft Office suite; Google Docs, Adobe Acrobat, Slack) as well as experience with cap table management and contract management software (Carta and Ironclad preferred).

The annual compensation range for this full-time position is $95,000-$135,000 + bonus + equity + benefits. Actual salary ranges will be based on job-related factors, including exact work location, experience, relevant training and education, and skill level.
