Position Overview: We are seeking a highly motivated and skilled Corporate Governance Lawyer to join our legal team in Cairo, Egypt. This role is pivotal in ensuring compliance with local laws and regulations for Tabby Group of entities across the MENA region, while supporting various legal aspects of our dynamic and fast-growing business. The ideal candidate will have experience in a similar role managing corporate secretarial and advisory work, including but not limited to managing board packs, meetings, minutes, shareholders resolutions and investment relations. As the first dedicated corporate governance hire, you will have the opportunity to build and shape the team while managing all corporate secretarial work for Tabby.
Key Responsibilities
Corporate governance: Manage all corporate governance work for Tabby Group of entities across the MENA region, including preparing and distributing board packs, minutes, and supporting materials; ensuring preparation and filing of resolutions; maintaining statutory registers; managing and organizing shareholder meetings; organizing the issuance of shares and other securities; dealing with any other corporate governance matters.
Legal Compliance: Ensure Tabby's full compliance with MENA region laws and regulations, including but not limited to data protection, employment, intellectual property, and commercial laws.
Regulatory Filings: In coordination with the compliance team, manage and maintain all regulatory filings, ensuring they are kept updated.
Legal Advisory: Provide legal advice and guidance on corporate governance matters to support various departments within Tabby.
Cross-functional Collaboration: Work closely with various departments across Tabby, including compliance, risk management, cybersecurity, and business development, to provide legal support and insights on corporate governance matters.
Skills, Knowledge & Expertise
Excellent command of English and Arabic (both written and spoken).
Law degree from a recognized university and in good standing with the bar in Egypt. Ideally qualified also in a common law jurisdiction.
Minimum of 5 years of legal experience in a similar role, preferably with the corporate secretary team of an international law firm or corporate service provider or a top international company.
Experience in using entity management software.
Strong understanding of MENA region's legal systems and corporate governance practices, in particular UAE (mainland and freezone) and KSA.
Proven experience in managing external law firms and service providers.
Strong project management skills, with the ability to manage a complex workload and prioritize tasks effectively.
Ability to work in a regulated environment and navigate complex regulatory requirements.
Excellent analytical, communication, and negotiation skills.
Team player with the ability to collaborate effectively across departments.
Self-motivated, detail-oriented, and adaptable in a fast-paced environment.
